1. Acceptance of Terms
By accessing or using this Website, including any client portals, software applications, digital platforms, or online services made available through the Website (collectively, the “Platforms”), you agree to comply with and be bound by these Terms of Service (“Terms”).
If you do not agree to these Terms, you must not access or use the Website or Platforms.
These Terms apply to the Website and Platforms operated by or on behalf of the Group and its affiliated entities in Belgium, India, the United Arab Emirates and other jurisdictions, as applicable.
2. Group Entities and Separate Legal Identity
The Website may be operated, administered, maintained or supported by one or more entities within the Group.
The Group comprises separately incorporated legal entities, including entities established in:
- Belgium;
- India; and
- The United Arab Emirates.
Each Group entity is a separate and independent legal entity with its own legal identity, rights, obligations, assets and liabilities.
For purposes of these Terms, references to the “Company”, “Group”, “we”, “us” or “our” shall refer to the particular Group entity responsible for the relevant Website, service, product, transaction or engagement, as identified in the applicable agreement, proposal, order form, invoice, payment document or other transaction document.
The use of a common trade name, brand, Website, technology platform or group identity does not create a partnership, joint venture, agency, branch relationship or single legal entity among the Group entities.
3. Applicable Entity
The entity responsible for providing a particular product or service shall be identified in the applicable contract, proposal, quotation, order form, invoice or other relevant document.
Depending upon the nature and location of the service or transaction, the responsible entity may be:

The applicable entity shall be responsible for the contractual obligations expressly undertaken by it.
No Group entity shall automatically be responsible for the obligations, liabilities or acts of another Group entity solely because the entities share a common brand, Website, management, directors, technology, employees or business relationship.
4. Intellectual Property Rights
Unless otherwise expressly stated in a written agreement, all intellectual property rights relating to the Website and Platforms, including software, source code, object code, designs, graphics, documentation, databases, methodologies, reports, content, trademarks, logos, trade names, brand elements and other materials, shall remain the property of the relevant Group entity or its licensors.
The use of the Website or Platforms does not transfer ownership of any intellectual property to the user.
Users shall not, without prior written authorization:
- Copy, reproduce, modify or distribute protected materials;
- Reverse-engineer or attempt to derive source code;
- Remove copyright, trademark or proprietary notices;
- Commercially exploit Company or Group intellectual property; or
- Use the intellectual property for the benefit of any unauthorized third party.
Any intellectual property ownership or licensing rights specifically agreed under a separate written agreement shall be governed by that agreement.
5. User Obligations and Acceptable Use
You agree to use the Website and Platforms only for lawful purposes and in accordance with these Terms.
You must not:
- Attempt to obtain unauthorized access to systems, servers, accounts or data;
- Bypass or interfere with security mechanisms;
- Introduce viruses, malware or other harmful code;
- Misuse or disclose confidential or proprietary information;
- Impersonate the Company, a Group entity, employee, representative or authorized agent;
- Use the Website to engage in unlawful, fraudulent, defamatory or abusive activities;
- Interfere with the operation or security of the Website or Platforms; or
- Use the Website or Platforms in a manner that violates applicable laws or regulations.
6. Confidentiality
Non-public business information, technical information, commercial information, customer information, credentials, system information, documentation and other confidential information accessed through the Website or Platforms shall be treated as confidential.
Users shall not disclose, reproduce, misuse or exploit confidential information except as authorized by the relevant Group entity or as required by applicable law.
Where a separate confidentiality or non-disclosure agreement exists, that agreement shall prevail to the extent of any inconsistency.
7. Third-Party Links and Services
The Website or Platforms may contain links to third-party websites, applications, products or services.
The relevant Group entity does not control and is not responsible for the availability, content, security, privacy practices or terms of third-party services.
Use of third-party services is subject to the applicable third party's terms and policies.
8. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Website and Platforms are provided on an “as-is” and “as-available” basis.
The relevant Group entity does not warrant that the Website or Platforms will always be uninterrupted, error-free, secure or available, or that defects will always be corrected.
Nothing in these Terms excludes or limits any warranty, statutory right or consumer protection that cannot legally be excluded or limited under the applicable law.
9. Limitation of Liability
To the maximum extent permitted by applicable law, the relevant Group entity shall not be liable for indirect, incidental, special, consequential or punitive damages arising from or relating to the use of the Website or Platforms.
This may include, where legally permissible, loss of profits, business interruption, loss of data, loss of goodwill or other consequential losses.
Nothing in these Terms shall exclude or limit liability that cannot lawfully be excluded or limited under applicable law, including liability arising from fraud, wilful misconduct or other liability that is legally non-excludable.
Any liability limitation contained in a separate written agreement with a customer or client shall apply in accordance with that agreement.
10. Privacy and Data Protection
Personal information collected through the Website or Platforms shall be processed in accordance with the applicable Privacy Policy and applicable data-protection laws.
Depending on the user, service, transaction and location involved, applicable data-protection requirements may include the laws and regulations of Belgium and the European Union, India, the United Arab Emirates or other applicable jurisdictions.
Where required by applicable law, users will be provided with additional privacy notices, consent mechanisms or data-subject rights applicable to their jurisdiction.
11. Electronic Communications and Electronic Contracts
By using the Website or communicating electronically with the relevant Group entity, you consent to receive communications electronically where permitted by applicable law.
Electronic communications, electronic records, electronic acceptance and electronic signatures may have legal effect to the extent recognised under the laws applicable to the relevant transaction.
Where a separate written agreement contains specific requirements relating to electronic execution or communications, those requirements shall prevail.
12. Suspension and Termination
The relevant Group entity may suspend or terminate access to the Website or Platforms where reasonably necessary due to:
- Breach of these Terms;
- Security concerns;
- Suspected unlawful or fraudulent activity;
- Misuse of the Website or Platforms;
- Legal or regulatory requirements; or
- Operational or technical reasons.
Termination or suspension shall not affect rights or obligations that accrued before termination.
13. Changes to These Terms
The Group may amend or update these Terms from time to time to reflect changes in legal, regulatory, technical, security or business requirements.
The updated version will be published on the Website with an updated “Last Updated” date.
Where applicable law requires prior notice or user consent for material changes, the relevant Group entity will provide such notice or obtain such consent.
Continued use of the Website after the effective date of updated Terms may constitute acceptance to the extent permitted by applicable law.
14. Governing Law and Jurisdiction
These Terms are intended to provide a common framework for the use of the Website and Platforms across the jurisdictions in which the Group operates.
The governing law and jurisdiction applicable to a particular user, service or transaction shall be determined as follows:
Belgium
Where the relevant service or transaction is provided by the Belgian Group entity, the laws of Belgium shall apply, subject to any mandatory applicable European Union or Belgian laws.
Disputes shall be submitted to the competent courts having jurisdiction in Belgium, subject to any mandatory jurisdictional rights applicable to the user.
India
Where the relevant service or transaction is provided by the Indian Group entity, the laws of India shall apply, subject to applicable mandatory laws.
Disputes shall be submitted to the competent courts having jurisdiction at Chennai, Tamil Nadu, India, where legally permissible and subject to any mandatory jurisdictional rights.
United Arab Emirates
Where the relevant service or transaction is provided by the UAE Group entity, the applicable laws of the United Arab Emirates and the relevant Emirate shall apply, subject to applicable mandatory laws.
Disputes shall be submitted to the competent courts of the applicable Emirate, unless a separate written agreement provides otherwise.
Mandatory Laws and Consumer Rights
Nothing in these Terms is intended to exclude, restrict or override any mandatory law, statutory right, consumer protection, data-protection requirement or other legal requirement that cannot lawfully be excluded or restricted in the jurisdiction applicable to the relevant user, service or transaction.
15. Separate Agreements Prevail
Where a customer, client, employee, supplier or other user enters into a separate written agreement with a particular Group entity, the terms of that agreement shall prevail over these Website Terms to the extent of any inconsistency.
The separate agreement shall determine, where applicable:
- The contracting entity;
- Scope of services;
- Fees and payment obligations;
- Intellectual property ownership;
- Confidentiality obligations;
- Applicable governing law;
- Dispute resolution;
- Limitation of liability; and
- Other transaction-specific rights and obligations.
16. No Agency or Joint Liability
Nothing contained in these Terms creates or shall be interpreted as creating an agency, partnership, joint venture, fiduciary relationship or employment relationship between the Group entities.
No Group entity has authority to bind another Group entity unless expressly authorised in writing.
The use of common branding, Website, management personnel, directors, employees, technology, infrastructure or business operations does not by itself establish joint liability between the Group entities.
17. Severability
If any provision of these Terms is determined to be unlawful, invalid or unenforceable by a competent authority or court, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall continue in full force and effect.
18. Entire Terms
These Terms, together with the applicable Privacy Policy and any additional terms expressly incorporated by reference, constitute the terms governing use of the Website and Platforms.
Nothing in these Terms shall override a separate written agreement applicable to a particular service or transaction.
